Advised on Takeover Code to listed companies and legal opinion about compliance with SEBI Takeover Code. Advised in setting up joint venture and collaboration of many overseas companies in India in Aviation Industry, Software Development, Water Purifier Company of UK, Infrastructure and Waste Water treatment ventures also drafted Joint Venture and Collaboration Agreement, reinstatement of Articles of Association of the companies and obtaining approval of FIPB/ Ministry of Finance and Reserve Bank of India .

Instrumental and advised for a GDR Issue of an ITES company including preparation of Legal Due Diligence, Offering Circular (OC) and listing of GDR at Luxembourgers Stock Exchange and coordination with all Intermediaries like Merchant Banker, Depositories, Custodian and Listing Agents for the purpose.

Approval of FIPB and Ministry of Finance for joint venture assignment of our client companies in the year 1998 ( in FERA Regime) and now also for aviation industry and logistics company.

Assisted in drafting scheme of Mergers till finally merging of companies of Pharma and Chemical manufacturing. Had handled legal due diligence of major chemical plants located across India for taking over by our client companies in India. Done actual and virtual legal due diligence of companies based in Sweden and Finland and drafted all agreement relating to such takeover including Term Sheet, MOUs, Indemnity, Warranties and final Share Purchase Agreement.

We have been appointed as mediator for disputes between client and its JV partners. Appeared before various government authorities for Petitions and Applications on behalf of client company in the matter related to Oppression and Mismanagement, Rectification of Register of Members and Shifting of registered office of the Company. Working as outsourced partner of legal and secretarial compliances of few esteem NGOs in Mumbai.

We have advised and completed all legal compliances for opening of wholly subsidiary companies or investments by client companies in USA, UK, Ireland, Germany, Sweden, Singapore, Kampala, Dubai ( in different Free Zones ), Malaysia and Nepal. Drafted and implemented ESOP scheme with listed ITES company and unlisted Pharma and Logistic Company.

Advise client in setting up school across India and handle all legal compliances and drafting of various documents for the purpose. We have handled drafting of loan documentation for a loan of Rs.1000 Crores for a Silvassa based company.
